(hereinafter «LAPA»). By placing an order on this website, the customer fully accepts these Terms and Conditions. In case of discrepancies between the language versions, the Italian version prevails.
1. Scope
These Terms apply to all orders placed via the website www.lapa.ch, by phone, email or WhatsApp. LAPA sells and delivers exclusively in Switzerland. The offer is aimed mainly at professional customers (catering, trade); orders from private customers (consumers) are welcome and, where the law so requires, the mandatory provisions for their protection apply.
2. Conclusion of the contract
The products presented on the website constitute an invitation to order, not a binding offer. The customer's order constitutes a purchase offer. The contract is concluded with LAPA's order confirmation or, at the latest, with the delivery of the goods. LAPA may refuse orders without stating reasons (e.g. unavailability, unserved area, previous unpaid amounts). Obvious price or description errors do not bind LAPA: in such cases the customer is informed and any amount paid is refunded.
3. Prices
All prices are expressed in Swiss francs (CHF), Swiss VAT included. The prices valid at the time of the order apply. Delivery costs are indicated on the page Shipping and are shown before the order is concluded.
3bis. Sales unit and variable weight
Some products are sold exclusively in whole packages (sacks, cartons, buckets). For these items the orderable quantity is a multiple of the package. If the quantity entered by the customer does not correspond to a multiple of the package, LAPA delivers and invoices the lower whole multiple; a quantity higher than the one confirmed in the order is never invoiced.
Other products — in particular whole cheese wheels, whole cured meats and fish products — are sold by variable weight: the price is indicated per kilogram and the exact weight of the piece is known only when the order is prepared. For these items the quantity indicated in the order is a reference value and the invoice shows the weight actually delivered, with a deviation of up to ± 10%. Variable-weight items are marked as such on the product page and in the order confirmation.
In all cases the unit of measure indicated on the product page (kilogram, piece, package) prevails: the ordered quantity and the price always refer to that unit, not to the carton or transport packaging. Since invoicing takes place after the goods are prepared in the warehouse, the final amount of the order is the one resulting from the invoice, which may differ from the amount indicated at the time of the order exclusively within the limits set out in this article.
If the ordered quantity is lower than the minimum sales package, LAPA contacts the customer before shipping to adjust the order; in the absence of a reply the line is cancelled and not charged. For orders paid at the time of ordering, the invoiced amount never exceeds the amount already paid: any difference in the customer's favour is refunded or credited.
4. Payment and retention of title
The accepted payment methods are indicated during the purchase process (or agreed with invoice customers). In case of late payment LAPA may suspend deliveries and charge reminder and collection costs. The goods remain the property of LAPA until full payment of the price.
5. Delivery
Delivery is made with our own refrigerated vehicles in the directly served areas and via partner couriers in the rest of Switzerland, as described on the page Shipping. The indicated delivery times (usually 1-3 working days) are indicative and do not constitute essential deadlines. Any delays do not entitle the customer to compensation, except in case of intent or gross negligence by LAPA.
The customer must ensure receipt of the goods at the indicated address. For perishable products delivered according to the customer's instructions (e.g. deposit at an agreed place in the customer's absence), LAPA's responsibility ends with the deposit. For courier shipments of fresh or frozen products, the cold chain warnings published on the Shipping page apply.
6. No right of withdrawal
Swiss law does not provide for any legal right of withdrawal or revocation for online purchases. Confirmed orders are binding. Voluntary returns are possible only under the conditions of our Returns and Complaints Policy, which excludes returns for fresh, refrigerated and frozen products, except for defective goods or a delivery error attributable to LAPA.
7. Duty to inspect and complaints
Pursuant to art. 201 CO, the customer must check the goods immediately upon delivery (quantity, integrity, temperature, expiry dates) and report evident defects to LAPA within 48 hours of delivery — within 24 hours for perishable products — by email to [email protected] or WhatsApp, attaching photos of the product and the label. The 24/48-hour time limits apply to defects recognisable at the time of delivery; defects that are not recognisable must be reported immediately after their discovery, within the statutory time limits (art. 201 and 210 CO). In the absence of timely notification the goods are deemed accepted.
Packages visibly damaged on delivery must be refused or accepted with a written reservation noted at the time of delivery.
8. Warranty for defects
In case of defective goods reported in time, LAPA will, at its own choice, replace the goods or issue a credit note. Excluded from the warranty are: the normal deterioration of fresh products, defects resulting from inadequate storage or handling after delivery, and products expressly sold with a short minimum durability date. The mandatory consumer rights under art. 197 ff. CO remain reserved.
9. Food products
Product images are indicative; packaging and label may vary. The dates indicated on the products («use by» / «best before») depend on the delivered batch. After delivery, the correct storage of the products (temperature, hygiene) is the sole responsibility of the customer. Frozen products that may have partially thawed during courier transport must not be refrozen.
10. Liability
To the extent permitted by law, LAPA's liability is limited to the value of the goods in the order concerned; liability for indirect or consequential damages (e.g. loss of profit, loss of production) is excluded. Liability for intent or gross negligence and mandatory liability under the Product Liability Act (PLA) remain reserved.
11. Customer account
The customer is responsible for the confidentiality of their access credentials and for all activities carried out through their account. LAPA may suspend or close accounts in case of abuse.
12. Intellectual property
All website content (texts, photos, logos, trademarks) is protected and may not be used without the written consent of LAPA or the respective owners.
13. Data protection
The processing of personal data is governed by our Privacy Policy, in accordance with the Swiss Federal Act on Data Protection (FADP).
14. Amendments
LAPA may amend these Terms at any time. The version in force at the time of the order applies to orders.
15. Applicable law and jurisdiction
Swiss law applies exclusively, to the exclusion of the Vienna Convention on the International Sale of Goods (CISG). The place of jurisdiction is the registered office of LAPA (Embrach, Canton of Zurich), subject to the mandatory places of jurisdiction provided by law in favour of consumers.
